The following terms of service (these "Terms of Service") govern your access to and use of the QuicklyLink website and mobile application, including any content, functionality, and services offered on or through www.quickylink.com or the QuicklyLink mobile application (the "Site") by QuicklyLink Inc. (123 Main St., New York, NY 10013, USA) and its subsidiaries, as applicable. QuicklyLink Inc. and its subsidiaries are collectively referred to as "QuicklyLink," "we," or "us," and "you" or "user" means you as a user of the Site.

Please read these Terms of Service carefully before you start to use the Site. By using the Site, opening an account, or clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or your employer or any other entity (if applicable), to be bound by these Terms of Service, QuicklyLink Payment Terms (found here) ("Payment Terms"), QuicklyLink’s Community Standards (found here), and any additional standards, conditions, policies, guidelines, and in-product disclosures (collectively, the “Terms”). These are incorporated herein by reference. You further acknowledge that you have read and understood our Privacy Policy (found here). If you do not agree to these Terms or the Privacy Policy, you must not access or use the Site. 1. Representations and Warranties

This Site is offered and available to users who are at least 18 years of age and of legal age to form a binding contract. Users under 18 but at least 13 years of age are only permitted to use the Site through an account owned by a parent or legal guardian with their permission. Users under 13 are not permitted to use the Site or QuicklyLink services.

The Site is available only to users who are not subject to any economic sanctions or trade restrictions imposed by the United States, European Union, or any other applicable jurisdiction.

By using the Site, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use the Site.

2. Key Terms

Buyers are users who purchase services on QuicklyLink.

Custom Offers are exclusive proposals that a Seller can create in response to specific requirements of a Buyer.

Service Add-Ons are additional services offered on top of the Seller’s main service for an additional price defined by the Seller.

Service Packages allow Sellers to offer services in different formats and prices. Packages can include upgrades, allowing Sellers to price their services at rates above the minimum.

Service Page is where the Seller describes their service and its terms, and the Buyer can purchase the service and create an Order.

Services are tasks or offerings provided on QuicklyLink.

Hourly Contract refers to an Order based on an hourly Custom Offer with an Hourly Rate.

Hourly Limit / Weekly Hourly Limit means the maximum number of hours per week defined in an Hourly Contract.

Hourly Rate is the rate per hour agreed upon between Seller and Buyer for an Hourly Contract.

Hourly Weekly Report / Weekly Report details the working hours reported by the Seller on a weekly basis for an Hourly Contract.

Logo Design refers to original logo designs uploaded by a Seller through QuicklyLink’s Logo Design Tool.

Logo Maker is an automated logo design tool offered by QuicklyLink for users to create and customize logos.

Order Page is where Buyers and Sellers communicate about an ordered service.

Orders are formal agreements between a Buyer and Seller.

Categories are areas where eligible Sellers showcase the services they offer based on specific skills.

Sellers or Freelancers are users who offer and provide services on QuicklyLink.

Seller Page is where Sellers can include their information, present a portfolio, showcase their services, and provide details useful to Buyers.

3. Overview (Key Terms in Summary)

Only registered users may buy and sell on QuicklyLink. By registering for an account, you agree to provide accurate, complete, and updated details about yourself or your business. You must promptly update your information if anything changes. You must not create accounts for fraudulent or misleading purposes. You are responsible for all activity under your account and for maintaining the confidentiality and security of your password. QuicklyLink is not liable for any acts or omissions related to your account.

Sellers set their prices at their discretion. Services on QuicklyLink may start at a base price of $5 and have a minimum Hourly Rate of $7.25. QuicklyLink reserves the right to set a higher base price for specific categories.

Buyers pay QuicklyLink in advance to create an Order, as detailed in the Payment Terms. For Hourly Contracts, payments are made weekly for hours reported in the Weekly Report.

Sellers must fulfill their Orders and may not cancel them regularly or without valid reasons. Cancellations impact Seller reputation and account status.

Sellers earn account levels based on performance metrics. Details about levels can be found in the Levels section below.

Users may not make or accept payments outside of QuicklyLink.

When purchasing through QuicklyLink, Buyers are granted all rights to delivered work unless otherwise specified by the Seller on their Service page or agreed upon by both parties. Some services may require additional payments for commercial use licenses. Refer to the “Ownership” and “Commercial Use License” sections for more details.

QuicklyLink reserves the right to use delivered work, as agreed by users, in reviews or marketing materials.

QuicklyLink offers a Logo Maker tool for Sellers to create and customize original logos, allowing Buyers to purchase full commercial use rights embedded with their brand names.

4. Sellers

4.1 Basics

Sellers create listings (Services) on QuicklyLink to allow Buyers to purchase their services.

Sellers may also create Custom Offers in response to Buyer requests, including hourly contracts for eligible Pro Buyers.

Each successfully completed Service accredits the Seller’s account with 80% of the purchase price. For Hourly Contracts, the Seller earns 80% of the agreed Hourly Rate for reported hours.

QuicklyLink credits Sellers once an Order or Weekly Report is completed. For payment details, see the Payment Terms.

Sellers may not promote their services or content via unauthorized advertising platforms.

Seller ratings are calculated based on reviews left by Buyers. High ratings help Sellers unlock advanced features, while low ratings may result in account suspension.

Sellers are responsible for obtaining liability insurance to cover risks associated with providing their services.

Business Sellers may need to provide additional documentation, such as identification, trade registration, and compliance statements. Failure to provide required information may result in restrictions or suspension.

4.2 Services

Sellers are permitted to list a limited number of active services based on their account level. Detailed information on levels can be found here.

Services offered through Quicky Freelance are considered user-generated content and must adhere to our policies. Services or users may be removed if they violate any terms, including but not limited to:

  • Offering illegal or fraudulent services.
  • Violating intellectual property rights, trademarks, or third-party terms (refer to our IP Claims Policy).
  • Providing adult content, inappropriate materials, or obscene services.
  • Creating intentional duplicates of services.
  • Posting spam, deceptive, or violent content.
  • Misleading buyers or others with inaccurate information.
  • Reselling regulated goods.
  • Preparing academic work on behalf of buyers.
  • Delivering low-quality services.
  • Promoting services in ways that violate laws, regulations, or partner agreements.

Removed services may lead to suspension of the seller’s account. Permanently removed services cannot be restored or edited.

Services may be delisted for violating terms, poor performance, or misconduct. Listings should include pre-approved URLs in descriptions and requirements. Services promoting violations will be removed.

All services must include appropriate images that reflect the quality of the offering. Repeated failures to match visual representations may result in demotion or account suspension.

Services can include an approved video uploaded via the management tools available on Quicky Freelance.

Statements undermining or attempting to bypass these Terms are prohibited.

Eligible services may offer structured packages with multiple pricing options.

Certain categories may only be available to Pro Sellers. Unauthorized listings in Pro categories may be removed.


4.3 Service Add-ons

Add-ons are enhancements or additional services that complement a base service and are priced separately by the seller.

Add-ons may be removed if they violate any terms outlined above. Sellers must ensure add-ons relate to the base service and form part of the overall deliverable.

Sellers can extend delivery timelines for orders that include add-ons, allowing time to complete the additional work.


4.4 Seller Levels

Our ranking system rewards sellers based on performance metrics. Higher levels unlock benefits and tools.

Sellers advance through activity, customer satisfaction, and delivery performance. Top levels require manual evaluation.

Certain categories may require tests or additional verification steps.

We reserve the right to update level criteria, tools, and benefits periodically.

Violations of these Terms may impact eligibility, restrict progress, or exclude sellers from the leveling system.


4.5 Pro Sellers

Pro Sellers are pre-vetted professionals selected based on quality and performance.

Pro Seller eligibility is reviewed regularly. We reserve the right to change status based on performance, including low ratings, delays, cancellations, or terms violations.

Pro Seller profiles may appear in our business catalog. Sellers can opt out at any time here.


4.6 Seller Features

Custom Offers

Sellers can send tailored proposals based on buyer requests. Offers include service descriptions, pricing, and timelines. Proposals must adhere to these Terms.

Hourly Contracts

Qualified sellers can offer hourly services:

  • Proposals must state hourly rates and estimated hours.
  • Contracts require a minimum of 8 hours.
  • Clients can define weekly limits and adjust them anytime.
  • Contracts can be terminated with 24-hour notice by either party.
  • Hours must be logged accurately, with supporting details, and submitted weekly.
  • Missed deadlines for logging hours may result in non-payment.

Idle contracts (3 months of inactivity) will automatically terminate.

Project Milestones

Orders exceeding $100 may include milestones (minimum $50 each). Each milestone is paid separately, and buyers can cancel further milestones if needed.

Milestones auto-complete after 8 days without feedback.

Subscriptions

Sellers may offer recurring services via subscriptions. Buyers can cancel upcoming cycles before payment. Paid cycles follow the cancellation terms outlined here.

Sellers can cancel subscriptions up to 10 days before renewal.

Stock Media

Eligible services may incorporate licensed images, music, or video clips. Sellers earn 20% of fees for standard licenses.

Stock Media is licensed for single-use within the deliverable and cannot be redistributed.

Cancellations void associated licenses.

4.7 Shipping Physical Deliverables

Certain services on Quicky Freelance involve physical deliveries (e.g., arts, crafts, or collectibles). For such services, Sellers may establish shipping charges. The following guidelines apply when Sellers and Buyers agree to ship physical items:

  • Gigs with shipping fees must include physical items delivered to Buyers.
  • Shipping costs apply only to expenses required to ship physical goods to Buyers.

Important: Buyers purchasing Gigs requiring physical delivery must provide a valid shipping address.

  • Sellers are responsible for making all shipping arrangements after receiving the Buyer’s shipping address.
  • Quicky Freelance does not manage or guarantee shipping logistics, tracking, item quality, or delivery condition and is not liable for any issues arising from shipping.
  • Sellers are encouraged to provide tracking numbers when available in the Order Page to minimize disputes related to shipping.

5. Buyers

5.1 Basics

  • Buyers may not offer payments outside of the Quicky Freelance platform.
  • Quicky Freelance may use delivered work, including Logo Designs, for marketing and promotional purposes.
  • Buyers may request Custom Offers tailored to specific needs and use platform features to find services. Services must comply with platform guidelines.
  • Orders must be paid using funds obtained legally and must not be linked to illegal or fraudulent activities.

5.2 Purchasing

Refer to the Payment Terms for information about payments, fees, and taxes.

  • Buyers may not propose or process payments outside of Quicky Freelance. If approached for alternate payments, report it to Customer Support immediately.

5.3 Recommendation System

Quicky Freelance customizes recommendations to improve the user experience. Learn more about the Recommendation System here.


6. Orders

6.1 Basics

  • Orders are created after payment confirmation. For Hourly Contracts, orders start after payment of the initiation fee.
  • Orders are marked “Complete” once delivered and accepted by Buyers. Orders will auto-complete if no revisions or modifications are requested within 3 days. Buyers may extend this period by up to 5 additional days.
  • Hourly Contract Weekly Reports auto-complete after 72 hours unless disputed.
  • Logo Maker orders are complete upon payment.
  • Milestone Orders auto-complete 8 days after delivery if no modifications are requested.
  • Gig Subscriptions create recurring orders as agreed by Buyers and Sellers.

Note: Buyers and Sellers should carefully review Gig Subscription terms to avoid unwanted charges or cancellations.

  • Some Gigs may require in-person meetings. Quicky Freelance does not guarantee the behavior, safety, or performance of Buyers or Sellers during in-person interactions and disclaims liability for such services.

6.2 Handling Orders

  • Sellers are notified of new Orders via email and site notifications.
  • Sellers must meet delivery timelines specified in their Gigs. Late deliveries may allow Buyers to cancel Orders and impact Seller ratings.
  • Sellers must upload proof of work or completed files when marking Orders as "Delivered."
  • Sellers abusing the "Deliver Work" button for incomplete Orders may face cancellations and warnings.
  • Buyers can request revisions if delivered materials do not match Gig descriptions or requirements.

6.3 Reviews

  • Buyer reviews are a key component of the rating system.
  • Reviews will only be removed for clear violations of Terms.
  • Reviews must be based on legitimate Orders. Attempts to manipulate reviews may result in account suspension.
  • Sellers cannot withhold work or request feedback modifications to manipulate reviews.
  • Published reviews are visible to the public once submitted.
  • Buyers may allow Work Samples to be displayed in Sellers’ Gig galleries.

7. Quicky Logo Maker

Quicky Logo Maker enables Sellers to offer original logo designs for Buyers to customize using automated design tools. Buyers receive full commercial use rights upon purchase.

  • Sellers are manually reviewed based on quality, ratings, sales, and reliability.
  • Automated tools analyze uploaded designs to detect infringements.

7.1 Editing Tool Commercial Use License

Buyers purchasing Logo Maker packages may create design variations with the editing tool. Quicky Freelance grants a non-exclusive, non-transferable license for editing purposes.

  • Reselling Logo Designs or variations is strictly prohibited and may lead to account restrictions.
  • Quicky Freelance may update or terminate the editing tool at its discretion.

7.2 Logo Design Commercial Use License

Upon payment, Sellers grant Buyers a worldwide, non-exclusive, irrevocable license to use Logo Designs for lawful purposes. Sellers retain ownership and copyrights.

  • No warranties are provided regarding Logo Designs, and Quicky Freelance disclaims liability for damages arising from use.
  • Buyers cannot claim ownership or resell Logo Designs.

8. User Conduct and Protection

Quicky Freelance empowers users globally to create, share, buy, and sell services in a professional and supportive environment. This section outlines the expected behavior and conduct for all users interacting on Quicky Freelance.

8.1 Basics

  • Sharing personal contact details (email, phone numbers, etc.) to bypass Quicky Freelance’s communication systems is prohibited.
  • Personal information necessary for service delivery should only be exchanged within the Order Page.
  • Quicky Freelance does not guarantee service levels provided by Freelancers. Users should utilize dispute resolution tools on the Order Page for assistance.
  • Protection is not offered for interactions conducted outside the Site.
  • All file and information exchanges must occur exclusively on the platform.
  • Abusive language, threats, discrimination, or harassment may result in warnings, suspension, or account removal.
  • Users must not solicit other users to make payments or contracts outside Quicky Freelance.

8.2 Orders

  • Actions aimed at defaming competitors, including malicious orders, may result in review removal and account suspension.
  • Users should not solicit cancellations, review changes, or modifications in violation of Order Cancellation or Feedback policies.

8.3 Gigs & Freelancer Pages

  • Freelancers confirm that all content provided on their Gig or Freelancer Page is original or properly licensed.
  • Any use of copyrighted music, stock footage, or other media must include valid licenses.
  • Users can report duplicate or infringing Gigs to Customer Support.
  • Quicky Freelance addresses copyright or trademark violations as outlined in our Intellectual Property Policy.

8.4 Reporting Violations

  • Users can report inappropriate content, violations, or misconduct through designated reporting channels.
  • Reports are reviewed by our Trust & Safety team. Investigation results are kept confidential.
  • Misuse of reporting systems may lead to account suspension.

8.5 Violations

  • Users violating Terms may receive warnings, affecting account eligibility, tools, and listing visibility, or result in permanent account suspension.
  • Users will receive email notifications explaining any actions taken against their account with instructions for appeal.

Non-Permitted Usage

  • Adult Services & Pornography - Adult-oriented content or services are strictly prohibited.
  • Inappropriate Behavior - Quicky Freelance does not tolerate harassment, bullying, or hate speech.
  • Phishing and Spam - Sending malicious content or spamming members is prohibited.
  • Privacy Violations - Sharing confidential information without permission is forbidden.
  • Authenticity - Profiles must be accurate and represent real individuals. False identities are not allowed.
  • Intellectual Property Claims - Quicky Freelance enforces protections for copyrights and trademarks.
  • Fraudulent Use - Illegal activities, including attempts to bypass economic sanctions, are prohibited.

Abuse and Spam

  • Multiple Accounts - Users are limited to one active account and one Pro account. Violations may lead to suspension.
  • Targeted Abuse - Harassment via multiple accounts is prohibited.
  • Selling Accounts - Buying or selling accounts is strictly forbidden.

8.6 Disputes and Cancellations

  • Users are encouraged to resolve disputes directly. For unresolved issues, the Support Team can provide assistance.
  • Refer to Payment Terms for more details on disputes, refunds, and cancellations.

8.7 Content Moderation, Notices, and Appeals

  • Quicky Freelance may conduct voluntary checks to identify and address illegal or non-compliant content.
  • Users may file appeals regarding moderation decisions within six months of notification.
  • Appeals will be reviewed fairly and decisions revised if errors are identified.
  • Users in the EEA may escalate disputes to certified Dispute Settlement Bodies.

8.8 Proprietary Restrictions

  • All design, layout, and content on Quicky Freelance are the property of Quicky Freelance and protected by intellectual property laws.
  • Users are prohibited from copying, modifying, or reverse-engineering the Site.
  • Unauthorized access, automation tools, data scraping, or introducing malicious code are strictly forbidden.
  • Users may only use the Site as permitted under these Terms.

8.9 Feedback Rights

  • Feedback submitted to Quicky Freelance, including suggestions and improvements, grants us exclusive, royalty-free ownership rights.

8.10 Confidentiality

  • Freelancers must treat all Buyer-provided information as confidential.
  • Information should only be used to fulfill services and must not be shared or copied without permission.

9. User Generated Content

User Generated Content (UGC) includes any content uploaded by users. Freelancers and Buyers are responsible for ensuring they have the rights to share such content.

  • Quicky Freelance does not pre-screen UGC but may remove content violating copyrights, trademarks, or other rights.
  • Users must report violations with proof of ownership.
  • Sellers must have licenses for any stock media used in their services.
  • Violations may lead to Gig removal or account suspension.

Quicky Freelance encourages responsible use of the platform, leveraging community ratings and reporting tools to maintain quality standards.

10. Ownership

Ownership and Limitations

When purchasing a service on Quicky Freelance, unless otherwise specified on the Freelancer’s project page or custom proposal, and subject to payment, all intellectual property rights, including copyrights in the delivered work, are transferred to the Buyer. The Freelancer waives any moral rights to the extent allowed by applicable law. The Freelancer expressly assigns all copyrights in the delivered work to the Buyer.

Transfer and assignment of intellectual property are conditional upon full payment. If payment is canceled for any reason, the delivery may not be used. For custom-created work (e.g., designs, reports, or artwork), the Buyer exclusively owns all rights upon delivery, and the Freelancer assigns all rights, titles, and interests in the work to the Buyer.

Some services may include additional fees for a Commercial Use License. Purchasing for personal use grants full ownership rights. However, for business or commercial purposes, Buyers must purchase the Commercial Use License as an add-on for extended rights.

For Voice Over services, Buyers receive basic rights to use the work indefinitely for non-commercial purposes. Commercial use or broadcasting (e.g., radio, TV, or internet ads) requires purchasing additional licenses, detailed below.

Additionally, unless explicitly stated otherwise, any content uploaded by users (e.g., profile information, photos, and work samples) may be used by Quicky Freelance for marketing and operational purposes without further compensation.


10.1 Voice Over Commercial Buy-Out

Purchasing a Voice Over service grants the Buyer a perpetual, exclusive, non-transferable license for non-commercial use globally. Commercial or promotional uses require the purchase of Commercial Rights, and broadcast purposes (radio, TV, or online ads) require Full Broadcast Rights.

  • Commercial Rights (Buy-Out): Grants the Buyer a license for promotional and non-broadcast purposes (e.g., podcasts, explainer videos, and email campaigns). Illegal, immoral, or defamatory use is prohibited.
  • Full Broadcast Rights (Buy-Out): Extends rights to include paid broadcast channels (e.g., TV and radio commercials). Illegal, immoral, or defamatory use is prohibited.

All Buy-Outs are subject to Quicky Freelance’s terms, without warranties, express or implied. Neither Freelancers nor Quicky Freelance are liable for incidental, consequential, or other damages related to these licenses.


10.2 Commercial Use License

A Commercial Use License grants Buyers a perpetual, exclusive, non-transferable license to use the purchased delivery for approved commercial purposes. The Freelancer retains ownership rights but provides permission for business uses like advertising, promotions, and web integration.

Illegal, immoral, or defamatory use is strictly prohibited. The license is governed by Quicky Freelance’s terms, with no warranties or liability for damages resulting from the use of delivered work.


10.3 Stock Media

For services that integrate Stock Media, Buyers are licensed to use the content under Stock Media terms. These terms define acceptable use cases and restrictions associated with the media.


11. Disclaimer of Warranties

Your use of Quicky Freelance, its content, and services is at your own risk. The platform and its features are provided "as is" and "as available" without warranties, except where professional diligence has been applied. Quicky Freelance does not guarantee completeness, reliability, or availability.

This disclaimer does not affect any warranties that cannot be excluded under applicable laws.


12. Machine Translation

Some user-generated content on Quicky Freelance may be translated using automated tools powered by third-party software. While efforts are made to ensure accuracy, translations are provided "as is" and may not be perfect.

The English version of the content is the official version. Translations are offered for convenience, and discrepancies between versions are non-binding. Users should rely on the English version for legal and enforcement purposes.


13. Limitation on Liability

Quicky Freelance, its affiliates, and its service providers are not liable for any damages arising from your use of the platform, including but not limited to lost revenue, data loss, personal injury, or property damage.

This limitation applies to all forms of legal action, including negligence and breach of contract, except where liability cannot be excluded under applicable law.

An "Affiliate" means any entity that controls, is controlled by, or is under common control with Quicky Freelance, with at least 50% ownership.


14. Deactivate and Disable Account

Quicky Freelance reserves the right to temporarily suspend or permanently disable accounts for violations of terms, poor performance, or illegal activity.

Disabled accounts cannot engage in selling or buying on the platform, and related content may be removed. Users may dispute such actions through our moderation and appeals process or contact Customer Support.

Users can voluntarily deactivate accounts at any time via account settings, but outstanding payment obligations remain in effect. For details, refer to "How to deactivate or delete your account." Terms regarding active orders will continue even after account deactivation.


15. Security Features

Users can enable security features to protect their accounts from unauthorized access. Proof of account ownership may be required for support requests. Users are responsible for safeguarding login details and account credentials.


16. General Terms

16.1 Changes to these Terms

Quicky Freelance may update these Terms periodically. When updates occur, a new version of the Terms will be made available on the corresponding page.

By continuing to use Quicky Freelance after any updates, you acknowledge and accept the revised Terms. If you disagree with the updated Terms, you must deactivate your account. For instructions on deactivating or deleting your account, refer to the account settings page.

Changes to these Terms may occur due to updates to the platform, changes to policies, services, or features, advancements in technology, compliance with legal and regulatory requirements, security improvements, and fraud prevention measures.


16.2 Indemnification

To the maximum extent allowed by law, you agree to indemnify, defend, and hold harmless Quicky Freelance, including its officers, directors, employees, affiliates, and agents, from any and all claims, losses, damages, liabilities, costs, expenses (including legal fees), and obligations arising out of:

  1. Your violation of these Terms or any related policies and guidelines.
  2. Your breach of any third-party rights, including intellectual property, privacy, or proprietary rights.
  3. Any claims resulting from your Service Listings, Profile Content, or use of the Site that affect third parties.

Quicky Freelance retains the right to manage its legal defense as it sees fit, even if you are indemnifying the platform. In such cases, you agree to fully cooperate with Quicky Freelance’s defense strategy.


16.3 Severability

If any provision in these Terms is deemed unenforceable, it will be limited or removed to the extent necessary, ensuring the remaining Terms stay valid and enforceable. Quicky Freelance’s failure to enforce any part of these Terms does not waive its rights to enforce other sections in the future.


16.4 Entire Agreement

These Terms represent the complete agreement between you and Quicky Freelance regarding the use of the Site and services, replacing any prior agreements, communications, or understandings.


16.5 Interpretation

Section headings, captions, and summaries are provided for convenience only and do not alter or affect the interpretation of these Terms. They are not legally binding.

The official language of these Terms is English. Any translations provided are for convenience only.
