This User Agreement, along with the Mobile Application Terms of Use and all related policies outlined on our platform (collectively referred to as "Terms"), governs your access to and use of Quicky Bid's services. These services include the Quicky Bid website, mobile application, tools, and resources (collectively, the "Platform"). By accessing or using our Platform, you agree to abide by these Terms.

Additionally, this Agreement includes clauses that affect dispute resolution, including an Agreement to Arbitrate. Unless you opt out, disputes must be resolved individually through binding arbitration, and you waive the right to participate in class actions. 2. About Quicky Bid
Quicky Bid is an online marketplace connecting users to buy and sell products and services using a variety of pricing formats, including auctions and fixed prices. Quicky Bid operates as a platform, not as a direct participant in transactions between buyers and sellers.
While we may offer tools and suggestions for pricing, shipping, and dispute resolution, these are strictly for informational purposes. Users are responsible for their own transactions, and Quicky Bid does not guarantee the quality, legality, or authenticity of listed items. Additionally, we do not guarantee that buyers will pay, sellers will deliver, or transactions will be completed as described.
Quicky Bid may use AI-powered tools to enhance user experiences, detect fraud, and provide recommendations, but the accuracy and availability of these tools are not guaranteed.
3. Using Quicky Bid
By accessing or using the Platform, you agree to follow this Agreement, our policies, and all applicable laws. Specifically, you agree not to:
- Violate any laws, regulations, or third-party rights.
- Use the Platform if you are under 18 or otherwise legally unable to enter into binding contracts.
- Fail to deliver purchased items or refuse payment without a valid reason as stated in our policies.
- Manipulate item prices or interfere with others' listings.
- Misuse the feedback or ratings system.
- Share login credentials or transfer your account without prior approval.
- Post false, misleading, defamatory, or harmful content.
- Distribute spam, malware, or any harmful technology.
- Use automated tools, bots, or scrapers without permission.
- Overload our systems or circumvent technical safeguards.
- Violate intellectual property rights or reproduce copyrighted content without authorization.
Sellers must meet Quicky Bid's performance standards. Failure to do so may lead to additional fees, account restrictions, or suspension.
If we determine that you have violated these Terms, we reserve the right to suspend or terminate your account, remove listings, restrict platform access, and take legal action if necessary. Violations involving external transactions outside Quicky Bid may also result in fees equivalent to final value charges.
4. Policy Enforcement
We evaluate disputes based on individual circumstances and user history. While we strive for fairness, we reserve the right to enforce policies and restrict services at our discretion.
When policy violations occur, actions may include warnings, listing removals, suspensions, or permanent bans. For disputes, users can contact our support team for assistance or use the built-in resolution tools available on the Platform.
5. Fees and Taxes
Quicky Bid charges sellers fees for listing and selling items on the Platform. In some cases, buyers may also be charged for supplemental services, such as item authentication or storage.
A detailed breakdown of seller fees can be found on our [Fees Page]. Fee changes will be announced at least 14 days in advance, except for temporary promotions or fee reductions.
Sellers are responsible for all applicable taxes and fees associated with their transactions. Payment methods must be kept up-to-date, and any unpaid balances may result in account restrictions, late fees, or collection actions. Unpaid accounts may be reported to credit agencies, potentially affecting credit scores.

6. Listing Guidelines
When posting an item for sale on Quicky Bid, you agree to follow our Listing Policies and Selling Guidelines. Specifically:
- You are fully responsible for the item listed, including its description, pricing, and accuracy. This includes any content created using tools provided by Quicky Bid or third-party integrations.
- Listings may not appear in search results immediately. In some cases, it may take several hours or up to 24 hours for listings to become searchable.
- Fixed-price listings may auto-renew every calendar month based on the existing terms unless sold out or manually removed by you or Quicky Bid.
- Content provided in listings must adhere to our guidelines for images, videos, and text.
- Listings that violate Quicky Bid’s policies may be modified, hidden, or removed at our discretion.
- We reserve the right to revise or enhance listings to improve accuracy or visibility.
- Search results depend on various factors, including the buyer’s location, query relevance, price, shipping terms, seller performance, and past activity.
- Listings may not appear in all search or browse results, regardless of the buyer’s sorting preferences.
- Optional features, like advanced listing upgrades, may be displayed only in specific sections of the platform.
- Duplicate listings may be filtered out based on our Duplicate Listings Policy.
- Metatags and URL links in listings may be modified or removed.
- Recommendations or suggestions provided for listing optimization are based on aggregated data and do not guarantee results.
- Items listed in certain categories or price ranges may require specific payment methods or escrow services as outlined in our Payment Policies.
- You must promptly remove listings for any product recalled by a manufacturer or government agency, or products deemed unsafe.
- Quicky Bid reserves the right to promote listings, including showcasing usernames, reviews, and feedback across marketing channels.
- Fees for listings do not grant exclusive rights to placement on the platform. We may display third-party advertisements alongside listings without requiring seller approval.
7. Purchase Terms
When purchasing items through Quicky Bid, you agree to the following terms:
- You are responsible for reviewing the full item listing before placing a bid, offer, or purchase.
- By placing a bid, offer, or committing to purchase, you enter into a legally binding contract to complete the transaction once accepted by the seller.
- For specific categories, such as vehicles or real estate, bids and offers represent serious intent but may not create legally binding contracts.
- Legal ownership of items transfers directly from the seller to the buyer, unless otherwise agreed.
- Ownership transfers are governed by applicable commercial laws unless mutually agreed upon by both parties.
8. International Transactions and Translations
As a global marketplace, Quicky Bid facilitates buying and selling across international borders. Sellers and buyers are responsible for understanding and complying with all relevant laws and regulations governing international sales, shipping, and customs.
- Listings may be viewed and purchased internationally based on shipping preferences set by the seller.
- Sellers can exclude specific regions or countries from shipping by updating their preferences.
- Buyers making international purchases are subject to the terms and policies of the site where the item was listed.
- Listings may be displayed on other Quicky Bid sites depending on shipping options set by the seller, but placement is not guaranteed.
- Quicky Bid may use automated tools for translating content, including listings and messages, into other languages. Accuracy and availability are not guaranteed.
- Quicky Bid offers international shipping solutions, including customs clearance services, through third-party providers. By listing items, sellers agree to participate in our International Shipping Program unless they opt out in their shipping settings.

9. Content
When you submit content through Quicky Bid's services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, and sublicensable license (through multiple tiers) to use your content in any form for the operation, expansion, and promotion of our services. This includes developing new features or products in any medium now known or developed in the future. To the fullest extent permitted by law, you waive any enforcement of Intellectual Property Rights, including moral rights, against Quicky Bid and any sublicenses or assignees regarding the use of such content.
By providing content, you confirm that you have the necessary rights and permissions to do so, and that it is accurate, legal, and non-infringing. You further confirm that its use under this agreement will not violate any third-party intellectual property rights. Quicky Bid assumes no liability for content submitted by users or third parties.
We may offer data, including descriptions, images, and specifications provided by external sources. You may use this information solely for your Quicky Bid listings. Quicky Bid may modify or withdraw this permission at its sole discretion. Product data is protected by copyrights and trademarks, and users must not alter or remove such markings or create derivative works from the data.
While we strive to maintain accurate and current information, we cannot guarantee the completeness or reliability of data provided. You agree that Quicky Bid is not responsible for inspecting or verifying the accuracy of data provided by third parties.
The "Quicky Bid" name, logo, and related trademarks are protected by intellectual property laws. These assets may not be used without prior written consent from Quicky Bid.
10. Intellectual Property Rights and Copyright Complaints
Quicky Bid respects intellectual property rights and responds to complaints of copyright infringement in compliance with the Digital Millennium Copyright Act (DMCA). If you believe your rights have been violated, please submit a notice to our Copyright Compliance Team. We will review and address complaints promptly.

11. Account Holds and Restricted Funds
To safeguard against risks associated with selling activities, Quicky Bid reserves the right to hold or restrict funds in your account as outlined in our Payment Terms. These holds may be imposed to cover potential liabilities, compliance issues, or disputes.
12. Communication and Monitoring
Quicky Bid may contact you via phone, email, or text messages to manage your account, resolve disputes, collect payments, or conduct surveys. By providing your contact details, you consent to these communications, including autodialed or pre-recorded messages. Standard messaging rates may apply.
For marketing communications, we will only contact you if you have provided consent, and you can opt out at any time through your communication preferences.
We may share your contact details with service providers acting on our behalf, strictly for purposes permitted under this agreement. Calls may be recorded for training or quality control purposes.
Our systems may scan and analyze messages sent through Quicky Bid's platforms to detect fraud or enforce policy compliance. We reserve the right to delay or block messages as needed.
13. Returns, Cancellations, and Refunds
For Sellers:
Sellers can set up automated rules for processing returns, replacements, and refunds. Default settings may automatically accept return requests and generate shipping labels unless customized by the seller. Sellers agree to follow Quicky Bid's return policies.
In cases of returns or cancellations, sellers may be charged for refunds, shipping labels, or fees incurred under Quicky Bid's Money Back Guarantee.
For Buyers:
Buyers may request cancellations within a specified time as detailed in our cancellation policy. Sellers have three days to accept or decline requests. If an order cannot be canceled, buyers may still initiate a return if eligible.
For returns, buyers may choose to purchase a shipping label through Quicky Bid or directly from a carrier. If a Quicky Bid-generated label is used, its cost may be deducted from the refund amount.
Quicky Bid Buyer Protection Guarantee:
Most purchases go smoothly, but if an issue arises, Quicky Bid's Buyer Protection Guarantee allows buyers to receive a refund for items that are damaged, do not match the listing, or fail to arrive. Sellers agree to follow the program's terms and accept final decisions made by Quicky Bid regarding disputes.
Quicky Bid may recover reimbursement amounts directly from sellers in cases of refunds issued under this program. Abuse of the guarantee may lead to account suspension or further actions to recover losses.
14. Payments
Payments for goods and services through Quicky Bid are processed by authorized payment providers as detailed in our Payment Terms. Sellers must comply with these terms, including providing accurate business and banking details to receive payments.
For Buyers:
- Payments are processed securely using the payment method selected at checkout. Funds are collected on behalf of the seller.
- Transactions may be declined, frozen, or held due to fraud prevention measures, compliance reviews, or violations of policies.
- Buyers authorize Quicky Bid and payment providers to save payment details for future use. Payment details can be updated at any time.
- Refunds, if applicable, will be processed by the payment provider and timelines may vary based on external factors.
- Buyers agree to follow all applicable laws and third-party terms related to their payment method.

15. Disclaimer of Warranties; Limitation of Liability

YOU ACKNOWLEDGE THAT YOU USE OUR PLATFORM AT YOUR OWN RISK AND AGREE THAT IT IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN ADDITION, TO THE EXTENT PERMITTED BY LAW, QUICKY BID (INCLUDING OUR AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTIONS, OR DAMAGE TO REPUTATION ARISING OUT OF OR RELATED TO:
- Your use of our platform or inability to use it.
- Errors, delays, or disruptions in service.
- Malicious software or security breaches.
- Pricing, listing, or guidance information provided by Quicky Bid.
- Content posted by third parties or inaccuracies in listings.
- Hardware damage caused by using Quicky Bid.
- Account actions such as suspensions or restrictions.
- Changes to platform features, policies, or this agreement.
In jurisdictions that do not permit disclaimers or liability limitations, these exclusions may not apply.
If Quicky Bid is found liable for any damages, our total liability to you is limited to the greater of (a) the total fees you paid us in the 12 months prior to the claim, or (b) $100.
16. Release
If disputes arise between you and other users, you agree to release Quicky Bid (including affiliates, directors, employees, and agents) from any claims, damages, or demands of any kind related to these disputes. This release covers both known and unknown claims, and you waive any protections limiting releases to known claims.
17. Indemnity
You agree to indemnify and hold Quicky Bid (including affiliates, directors, employees, and agents) harmless from any claims, losses, damages, or legal fees arising from:
- Your breach of this agreement.
- Your misuse of our platform.
- Violations of laws or rights of third parties due to your actions.
18. Legal Disputes
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
A. Governing Law This agreement and any related disputes will be governed by the laws of the State of New York, excluding its conflict-of-laws principles, unless otherwise stated.
B. Agreement to Arbitrate You and Quicky Bid agree to resolve disputes through binding arbitration instead of in court, except for claims eligible for small claims court.
Exemptions for Small Claims Either party may pursue claims in small claims court if eligible. Disputes over eligibility will be determined by the small claims court, not an arbitrator.
Class Action Waiver YOU AND QUICKY BID AGREE TO BRING CLAIMS ONLY INDIVIDUALLY AND NOT AS PART OF ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY ONLY PROVIDE INDIVIDUAL RELIEF.
Arbitration Process Arbitration will be conducted through the American Arbitration Association (AAA) under its rules. Filing forms and guidelines are available at www.adr.org. Arbitration hearings will be held in New York or another agreed location.
Costs of Arbitration Quicky Bid will pay arbitration fees for claims under $10,000, unless the arbitrator determines your claims are frivolous. Otherwise, fees are governed by AAA rules.
Severability If parts of this arbitration agreement are found invalid, the remaining parts will still apply.
Opt-Out Option New users may opt out of arbitration by mailing a written notice to Quicky Bid within 30 days of agreeing to these terms. Opt-out notices must include your name, address, email, and account details.
Amendments to Arbitration Agreement Future amendments to this section will not apply retroactively to claims filed before the amendment. Notice of changes will be provided 30 days in advance.
C. Judicial Forum If arbitration does not apply, disputes will be resolved in state or federal courts in New York, and both parties consent to jurisdiction in these courts.
19. General
Except as otherwise stated in this User Agreement, if any provision is found to be invalid, void, or unenforceable, that provision will be removed without affecting the validity or enforceability of the remaining provisions. At our discretion, Quicky Bid may transfer this User Agreement to another party, and we will provide notice of such assignment on www.quickybid.com.

If we do not act on a breach of this User Agreement, it does not waive our right to take action on future or similar breaches. We do not guarantee that we will take action against every breach of this User Agreement.
Quicky Bid may revise this User Agreement at any time by posting updated terms on www.quickybid.com. Updates may include additions, removals, or modifications to existing terms. We will provide 30 days' notice through updates on our website and via email notifications, where applicable. Continuing to access or use our Services after these changes indicates your acceptance of the updated terms. We may also request explicit acknowledgment of the revised User Agreement through electronic confirmations.
Without limiting our ability to refuse, modify, or discontinue any part of our Services, Quicky Bid reserves the right to terminate this Agreement with any user, at any time, for any reason, at our sole discretion, by providing notice of such termination.
Policies and terms posted on our Services may also change periodically. Updates take effect as soon as they are published on Quicky Bid’s Services.
If you create or manage an account on behalf of a business, you confirm that you have the authority to represent and bind that business to this User Agreement. In such cases, the account is owned and controlled by the business entity. No partnerships, joint ventures, employment, or franchise relationships are implied or created by this User Agreement.
The terms and policies included in this User Agreement form the entire agreement between you and Quicky Bid, superseding any prior agreements or understandings.
The following sections will survive the termination of this User Agreement: Fees and Taxes, Content, Holds and Restricted Funds, Additional Terms, Payment Services, Disclaimer of Warranties; Limitation of Liability; Release, Indemnity, Legal Disputes, and General.
For California residents, in compliance with Cal. Civ. Code §1789.3, complaints can be reported to the Complaint Assistance Unit of the Division of Consumer Services at the California Department of Consumer Affairs. For transactions involving event tickets in Illinois, as outlined in 815 ILCS 414/1.5(c), buyers and sellers may submit complaints to the American Arbitration Association ("AAA") for resolution. AAA’s rules are available at www.adr.org. Disputes will be handled by an independent arbitrator as per this User Agreement. Buyers and sellers also agree to the jurisdiction of the State of Illinois for disputes involving ticketed events held in Illinois.
